This Terms of Use Agreement (the “Agreement”) is between Tshul I.T. Solutions (referred to as “Tshul,” “we,” “our,” or “us”) and the entity or individual (“Customer,” “you,” or “your”) who accesses or uses our services. By using or accessing Tshul’s services, you agree to be bound by this Agreement. If you do not agree to these terms, you may not use our services.


1. Description of Services

Tshul provides software solutions, including:

  • Accounting Software: Tools for managing financial transactions, bookkeeping, invoicing, and reporting.

  • HR Software: Solutions for employee management, payroll, attendance tracking, and other HR needs.

Certain features may vary depending on the subscription plan purchased. Tshul reserves the right to update or modify the scope of its services. Significant changes will be communicated to customers in accordance with this Agreement.


2. Registration and Privacy

To access our services, you are required to register an account. By registering, you agree to:

  1. Provide accurate and complete registration information.

  2. Update your registration information as necessary to ensure its accuracy.

  3. Maintain the confidentiality of your account credentials.

Failure to maintain accurate information or secure your account may result in restricted access to services.


3. Organization Accounts and Administrators

If you create an account on behalf of an organization:

  • The initiating user is designated as the administrator with the ability to manage users and configure settings.

  • Tshul is not responsible for internal account administration or disputes regarding administrator roles.

  • Changes to the administrator role require a formal request to [email protected], including verification documents if necessary.


4. Subscription and Renewal

  1. Fees: All subscription fees must be paid in advance. Invoices are generated only after receipt of payment.

  2. Non-Refundable: Subscription fees are non-refundable.

  3. Price Changes: Any changes in subscription fees will apply at the next billing cycle.

  4. Cancellation: You may cancel your subscription anytime, but no refunds will be issued for unused days in the subscription term.


5. Compliance and Data Ownership

5.1 Compliance

Customers using Tshul’s software are responsible for ensuring compliance with applicable laws and regulations, including those outlined by the Inland Revenue Department (IRD) of Nepal.

5.2 Data Ownership

All data you enter or store in Tshul’s software is owned by you. Tshul does not claim ownership over your data but may be required to disclose it under legal or regulatory obligations. Tshul will provide advance notice where permissible.

5.3 Data Access Post-Termination

Upon subscription expiration or account termination:

  • Tshul offers a one-month grace period to access and retrieve your data.

  • Data may be permanently deleted after this period unless regulatory requirements dictate otherwise.

  • For IRD-compliant accounts, data will be deleted only upon receiving necessary approvals from relevant authorities.


6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the agreement. Tshul will implement appropriate security measures to protect your data against unauthorized access.


7. Limitation of Liability

To the maximum extent permitted by law, Tshul shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, data loss, or business interruption arising out of your use of the services.


8. Indemnification

You agree to indemnify and hold Tshul harmless from any claims, damages, or expenses arising from your misuse of the services, negligence, or breach of this Agreement.


9. Termination

  1. This Agreement remains effective until the expiration of all subscription terms unless terminated earlier.

  2. Tshul may terminate your access if you breach this Agreement.

  3. You may terminate by providing written notice to [email protected].

  4. Upon termination, all outstanding fees become immediately due.


10. Force Majeure

Neither party will be liable for delays or failures caused by circumstances beyond their reasonable control, including natural disasters, labor disputes, or governmental actions.


11. Trademarks

Tshul’s name, logo, and software trademarks may not be used without prior written permission.
